Pools Finance - Terms of Service

Welcome to Pools Finance ("Pools Finance," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our decentralized exchange interface, services, and website located at https://pools.finance (the "Site" or "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. Eligibility

To use our Services, you represent and warrant that:

  • You are at least eighteen (18) years old or the age of legal majority in your jurisdiction, whichever is greater.

  • You have the full legal capacity and authority to enter into and comply with these Terms.

  • If using on behalf of an entity, you are authorized to bind that entity to these Terms.

  • You are not located in, nor a citizen or resident of, any jurisdiction where accessing or using the Services is prohibited or restricted by applicable law or regulation (including, but not limited to, jurisdictions subject to U.S. sanctions or other applicable sanctions lists).

You are solely responsible for ensuring that your use of the Services complies with all laws, rules, and regulations applicable to you. We reserve the right to restrict or deny access to users from certain jurisdictions at our sole discretion.

2. The Services & Assumption of Risk

  • Interface Only; Non-Custodial: Pools Finance provides a user interface to interact with decentralized finance protocols ("Protocols") on supported blockchain(s). We are a non-custodial service provider, meaning we do not hold, control, or have access to your private keys, digital assets, or funds. You retain sole control over your digital assets and private keys. All transactions are initiated and approved by you through your connected wallet.

  • No Financial, Legal, or Tax Advice: Any information provided on the Site or through our Services is for informational purposes only and should not be construed as financial, investment, legal, tax, or other professional advice. You are solely responsible for determining the appropriateness of any action and for consulting with your own professional advisors.

  • Blockchain Costs & Risks: You acknowledge that using blockchain-based services involves costs (e.g., "gas" fees for transactions) for which you are responsible. Blockchain networks are operated by decentralized third parties, and we have no control over their operation, availability, or security.

  • Inherent Risks of DeFi: You understand and agree that accessing and using decentralized finance services involves significant risks, including but not limited to:

    • Smart Contract Risk: The Protocols involve smart contracts which may contain vulnerabilities, bugs, or errors that could result in the partial or total loss of your digital assets.

    • Market Volatility: The value of digital assets can be extremely volatile and can fluctuate significantly, potentially leading to substantial financial losses.

    • Impermanent Loss: Providing liquidity to certain Protocols may expose you to "impermanent loss."

    • Protocol Risk: The underlying Protocols are not controlled by Pools Finance and may be subject to their own governance, security, and operational risks.

    • Regulatory Uncertainty: The legal and regulatory landscape for digital assets and decentralized finance is evolving and uncertain. Changes in laws or regulations could impact the Services or your use thereof.

    • Security Risks: You are responsible for maintaining the security of your wallet, private keys, and any devices used to access the Services.

BY USING THE SERVICES, YOU EXPRESSLY ACKNOWLEDGE, ACCEPT, AND ASSUME ALL SUCH RISKS AND AGREE THAT POOLS FINANCE SHALL NOT BE LIABLE FOR ANY LOSSES OR DAMAGES ARISING OUT OF OR RELATED TO SUCH RISKS.

3. User Conduct

You agree not to:

  • Violate any applicable laws, regulations, or these Terms.

  • Engage in any fraudulent, deceptive, manipulative, or unlawful activity.

  • Interfere with, disrupt, or negatively affect the Services or other users' enjoyment of the Services.

  • Use any automated means (bots, scrapers, etc.) to access the Services without our prior written permission.

  • Introduce any malware, viruses, or other harmful material.

  • Attempt to circumvent any security measures or access controls.

4. Promotions, Airdrops, and NFTs

From time to time, we may offer promotions, conduct airdrops, or distribute non-fungible tokens (NFTs). Such activities are subject to the following:

  • Eligibility: We reserve the right to determine eligibility criteria at our sole discretion.

  • Disclaimers: We are not responsible for any loss, damage, or harm resulting from your participation. The value of tokens and NFTs can be volatile.

  • Taxes: You are solely responsible for determining and paying any taxes applicable to your participation.

5. Intellectual Property Rights

The Site, Services, and all related content, features, and functionality (including text, graphics, logos, and software, but excluding user-owned assets on the blockchain) are the exclusive property of Pools Finance or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, revocable, non-transferable license to access and use the Services for your personal, non-commercial use as intended by these Terms.

6. Third-Party Links & Services

The Services may contain links to third-party websites, resources, or services. We do not endorse and are not responsible or liable for their availability, accuracy, content, products, or services. You access such third-party resources at your own risk.

7. Disclaimers of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

POOLS FINANCE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, ACCURATE, RELIABLE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. YOU ACKNOWLEDGE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

8. Limitation of Liability

To the maximum extent permitted by applicable law, we and our affiliates, officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses, resulting from your use of our services.

9. Indemnification

You agree to indemnify, defend, and hold harmless Pools Finance, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your access to or use of the Services; (b) your violation of these Terms; or (c) your violation of any rights of any other person or entity.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms or your use of our services shall be resolved through negotiation, mediation, or arbitration as agreed by the parties.

11. Amendments to Terms

We reserve the right to modify or replace these Terms at any time in our sole discretion. If we make material changes, we will provide notice, such as by updating the "Last Updated" date at the top of these Terms or by other means we deem appropriate. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of such changes.

12. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Pools Finance regarding your use of the Services and supersede all prior and contemporaneous understandings or agreements.

  • Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

  • No Waiver: Our failure to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

  • Termination: We may, in our sole discretion, suspend, restrict, or terminate your access to or use of the Services, at any time and for any reason, without prior notice or liability.
